Articles of association review

Review articles of association — for Swedish, Norwegian and Danish law — in minutes instead of hours

The articles of association are the only document that binds the company itself — a gap in the mandatory content, or an invalid transfer restriction, can leave a provision without effect. LexCodex reviews the articles against the requirements of the governing statute, analyses share classes and voting, assesses the validity of any transfer restriction and checks formation requirements — each assessment grounded in verified primary sources.

Upload articles of association (PDF or text) and get results in minutes.

What you get

Mandatory content

The tool checks that the articles contain everything the governing statute requires — name, registered office, object, share-capital limits, number of shares, board, auditor, notice of meetings and financial year.

Share classes & voting

Different share classes and voting differences are analysed against the statutory limits, so that vote-weight differences and economic preferences are validly drafted.

Transfer restriction

The type and validity of any transfer restriction (right of first refusal, pre-emption, consent) is assessed against the jurisdiction’s default rule.

Capital & formation

Capital requirements and other formation conditions are checked against the relevant provisions via verified primary sources with second-pass verification.

How it works

  1. Upload: PDF or paste the articles of association
  2. Jurisdiction: Swedish, Norwegian or Danish law
  3. The AI analyses: Takes 1–3 minutes
  4. Get a report: Mandatory content, share classes, transfer restriction, capital check and source-grounded references

Data protection

Uploaded articles are not stored with us after analysis (Zero Data Retention). The analysis runs via the AI provider (SOC 2, ISO 27001), which does not use data for model training.

Frequently asked questions

What can be analysed?

Articles of association for private limited companies in Sweden, Norway and Denmark. The tool checks mandatory content, share classes, transfer restrictions and formation requirements.

Why do the articles matter more than a shareholders’ agreement?

The articles of association bind the company as a legal person and are public through registration — unlike a shareholders’ agreement, which binds only the parties. Terms that are to have corporate-law effect must therefore appear in the articles.

Are my articles secure?

Yes. The text is not stored on our servers after analysis (Zero Data Retention). The analysis runs via the AI provider, which is SOC 2 Type II and ISO 27001 certified. LexCodex does not use your data for model training.

Which jurisdictions are covered?

Private companies in Sweden, Norway and Denmark. Each jurisdiction’s default rules apply — for example, capital requirements and transfer restrictions differ between the three. The tool links to the relevant provisions via verified primary sources.

What does the review cost?

All plans run Premium AI with full results. Free plan gives 3 analyses per month, Pro (180 EUR/month) gives 100 analyses and Enterprise (700 EUR/month) gives unlimited analyses for 5 users.
